The website located at https://newspals.ai (the "Site") is a copyrighted work belonging to NewsPals ("Company", "us", "our", and "we"). Certain features of the Site may be subject to additional guidelines, terms, or rules posted on the Site in connection with such features. All such additional terms are incorporated by reference into these Terms of Use (these "Terms"). These Terms set forth the legally binding terms and conditions that govern your use of the Site and our editorial news website, explainers, newsletter surfaces, and related offerings (collectively, the "Service"). By accessing or using the Site or Service, you accept these Terms and represent that you have the right, authority, and capacity to enter into them. You may not access or use the Site or accept the Terms if you are not at least 18 years old. If you do not agree with all provisions of these Terms, do not access or use the Site.

Important — dispute resolution

Section 10 (Dispute Resolution) contains an agreement to arbitrate requiring, with limited exceptions, that disputes between you and Company be resolved by binding arbitration, and includes a class action and jury trial waiver. Unless you opt out within 30 days, you may only pursue claims on an individual basis and waive court and jury trial for covered disputes. Please read Section 10 carefully.

Accounts

Account Creation. To use certain features you must register for an account ("Account") and provide information prompted by the registration form. You represent that all required registration information is truthful and accurate and that you will maintain its accuracy. You may delete your Account at any time through Settings > Privacy. Company may suspend or terminate your Account as described in the Term and Termination section. Account Responsibilities. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. Notify us immediately at legal@newspals.ai of any unauthorized use or suspected breach. Company is not liable for loss arising from your failure to comply.

Access to the Site

License. Subject to these Terms, Company grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Site solely for personal, non-commercial reading and research. Restrictions. You shall not license, sell, rent, lease, transfer, assign, distribute, host, or commercially exploit the Site; modify or reverse engineer any part of the Site; access the Site to build a competing product or service; or copy, reproduce, or distribute Site content except as expressly permitted. Modification. Company may modify, suspend, or discontinue the Site with or without notice and will not be liable for modification, suspension, or discontinuation. No Support. Company has no obligation to provide support or maintenance. Ownership. Except for User Content you provide, all intellectual property in the Site and content is owned by Company or its suppliers. These Terms do not transfer any IP rights except the limited license above. Feedback. If you provide feedback regarding the Site, you assign all rights in such Feedback to Company and agree we may use it without restriction or compensation.

User Content

"User Content" means information and content you submit to or use with the Site (e.g., newsletter sign-up details, feedback, contact forms). You are solely responsible for User Content and assume all risks of its use or disclosure. You represent that User Content does not violate the Acceptable Use Policy. Company is not obligated to back up User Content and may delete it without notice.

License to User Content

You grant Company an irrevocable, non-exclusive, royalty-free, fully paid, worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use your User Content solely to operate and improve the Site and Service. You waive moral rights and attribution claims to the extent permitted by law.

Acceptable Use Policy

You agree not to use the Site to collect, upload, transmit, or distribute User Content that violates third-party rights; is unlawful, harassing, abusive, threatening, harmful, defamatory, obscene, or otherwise objectionable; is harmful to minors; or violates law or third-party obligations. You also agree not to: upload viruses or harmful code; send spam or unsolicited messages; harvest user data without consent; interfere with servers or networks; attempt unauthorized access; harass other users; or use automated agents to scrape, mine, or create multiple accounts (except public search engines per robots.txt).

Enforcement

We may review, refuse, remove User Content, investigate violations, suspend or terminate Accounts, and report conduct to authorities in our sole discretion.

Third-Party Links and Ads; Other Users

The Site may contain third-party links and advertisements. Company does not control or endorse them; you use them at your own risk and should review third-party terms and privacy practices. Each user is solely responsible for its User Content. We are not responsible for User Content provided by others or for interactions between users. Company is not obligated to become involved in user disputes.

Release

You release and discharge Company and its officers, employees, agents, successors, and assigns from claims arising out of or relating to the Site, other users, or third-party links. IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542.

Subscriptions and Payment

NewsPals is primarily free to read. If we introduce paid offerings in the future, billing terms will be shown at checkout and incorporated into these Terms. Any paid features will be billed through our designated payment processor on terms disclosed at purchase.

Disclaimers

THE SITE AND SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE." COMPANY AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION. IF APPLICABLE LAW REQUIRES WARRANTIES, THEY ARE LIMITED TO NINETY (90) DAYS FROM FIRST USE. SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS; THE ABOVE MAY NOT APPLY TO YOU.

Limitation on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND SUPPLIERS SHALL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM THESE TERMS OR YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. OUR LIABILITY FOR ANY CLAIM SHALL NOT EXCEED FIFTY US DOLLARS ($50). MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. SUPPLIERS HAVE NO LIABILITY ARISING FROM THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS; THE ABOVE MAY NOT APPLY TO YOU.

Indemnification

You agree to indemnify Company and its officers, employees, and agents from claims arising from your use of the Site, User Content, or violation of these Terms or law. Company may assume exclusive defense at your expense; you agree to cooperate.

Term and Termination

These Terms remain in effect while you use the Site. We may suspend or terminate your access, including your Account, for any reason, including violation of these Terms. Upon termination, access ends and User Content may be deleted from live databases. Company has no liability for termination. Sections on restrictions, User Content, indemnification, disclaimers, limitation of liability, copyright, and dispute resolution survive termination.

Copyright Policy (DMCA)

Company respects intellectual property rights. If you believe material on the Site infringes your copyright, send a written notification under 17 U.S.C. § 512(c) to our Copyright Agent with: your signature; identification of the copyrighted work; identification of infringing material and its location; your contact information; a good-faith statement of unauthorized use; and a statement under penalty of perjury that you are authorized to act. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the Arbitration Agreement. Nothing limits mandatory consumer rights in your country of residence.

General

These Terms may be revised occasionally. Material changes may be notified by email to your last provided address and/or prominent notice on the Site. Continued use after notice constitutes acceptance. You are responsible for keeping your email current.

Dispute Resolution

Please read this Arbitration Agreement carefully. It requires binding arbitration with limited exceptions and limits how you seek relief from Company Parties (Company, parents, subsidiaries, affiliates, successors, and their officers, directors, employees, agents, and representatives).

Informal Dispute Resolution

Before arbitration or small-claims court, you and Company agree to a good-faith Informal Dispute Resolution Conference within 45 days after written Notice. Send Notice to legal@newspals.ai including your name, phone, mailing address, email associated with your account, counsel contact (if any), and dispute description. The conference is individualized unless parties agree otherwise. Statutes of limitation and filing fees are tolled during this process.

Arbitration Rules and Forum

If informal resolution fails within 60 days after Notice, either party may initiate binding arbitration under the Federal Arbitration Act. Arbitration is administered by JAMS under Streamlined Rules for claims under $250,000 (excluding fees and interest) or Comprehensive Rules otherwise (see jamsadr.com). Unless agreed otherwise or Batch Arbitration applies, arbitration occurs in the county where you reside. Exchange of information is limited per JAMS Rules. Materials exchanged in arbitration are confidential.

Authority of Arbitrator

The arbitrator has exclusive authority over arbitrable disputes except class-waiver enforceability, fee disputes, condition-precedent disputes, and which Arbitration Agreement version applies — those are for courts. The arbitrator may award relief available to an individual under applicable law and these Terms. Awards are final and binding.

Waiver of Jury Trial

EXCEPT FOR SMALL CLAIMS AND IP INJUNCTIVE RELIEF IN COURT, YOU AND COMPANY PARTIES WAIVE RIGHTS TO SUE IN COURT AND HAVE A JURY TRIAL. ARBITRATION HAS LIMITED COURT REVIEW.

Waiver of Class or Collective Relief

EXCEPT AS IN BATCH ARBITRATION BELOW, CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS — NOT AS CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ACTIONS. THE ARBITRATOR MAY AWARD DECLARATORY OR INJUNCTIVE RELIEF ONLY FOR YOUR INDIVIDUAL CLAIM.

Attorneys' Fees

Parties bear their own fees unless the arbitrator finds a claim frivolous or improper under Federal Rule of Civil Procedure 11(b). The party obtaining an order compelling arbitration may recover reasonable costs and fees.

Batch Arbitration

If 100+ similar individual Requests are filed within 30 days, JAMS shall batch them in groups of 100 per batch with one arbitrator and one fee set per side per batch, as described in these Terms. This does not authorize class arbitration except as expressly stated.

30-Day Right to Opt Out

You may opt out by written notice within 30 days after first becoming subject to this Arbitration Agreement to legal@newspals.ai, including your name, address, and clear opt-out statement. Opting out does not affect other Terms.

Invalidity and Time Limits

If any part of this Arbitration Agreement is invalid, the remainder continues. Disputes must be initiated within applicable statutes of limitation.

Modification of Arbitration Agreement

If Company makes a material change to this Arbitration Agreement, you may reject it within 30 days by writing to legal@newspals.ai. Rejection preserves the prior agreement if you were bound by it and had not opted out.

Export

You agree not to export or reexport U.S. technical data acquired from Company in violation of U.S. export laws.

California Disclosures

California residents may contact the Complaint Assistance Unit of the Division of Consumer Services, California Department of Consumer Affairs, 400 R Street, Sacramento, CA 95814, or (800) 952-5210.

Electronic Communications

You consent to receive communications electronically and agree electronic communications satisfy legal writing requirements where permitted.

Entire Terms

These Terms are the entire agreement regarding the Site. Failure to enforce a provision is not a waiver. Section titles are for convenience. "Including" means including without limitation. Invalid provisions are modified to be enforceable to the maximum extent. You are an independent contractor, not an agent or partner. You may not assign these Terms without consent; Company may assign freely.

Copyright and Trademarks

Marks displayed on the Site are Company or third-party property. You may not use Marks without prior written consent.
